Four Strategic Partnerships Unveiled

Sellwin Traders revealed multiple Memorandums of Understanding. First, the company entered an MoU with Myzek Logistics. Myzek handles last-mile delivery services for businesses and customers. Their clients include major names like JioMart, Zomato, and Blinkit.

Second, Sellwin Traders advanced its partnership with Patel Container India. Both companies initiated a formal Strategic Association and Share Swap Agreement. This agreement covers Sellwin's proposed 36% investment in PCIPL's container manufacturing project near Bhavnagar, Gujarat.

Third, the company signed an MoU with Kumkum Wellness. Sellwin Traders plans to acquire an initial 36% equity stake in this wellness company. The agreement includes an option to increase holdings to 60% within eighteen months.

Fourth, Sellwin Traders formed a strategic partnership with Shivam Contracting. This US-based company will receive investment of around ₹52 crore. The funds will support ongoing and future projects across the United States.

Details of the Myzek Logistics Partnership

The MoU with Myzek Logistics outlines a strategic equity partnership. Sellwin Traders intends to acquire an initial equity stake of up to 20% in Myzek. The company may increase this holding to 35% over time.

This deal can be structured through a share swap at ₹15 per share. Sellwin Traders' current share price stands at ₹8.93 per share. The MOU also includes funding support of up to ₹5 crore from Sellwin Traders.

This funding may come as a convertible instrument. It will support Myzek's fleet expansion, technology upgrades, and geographic scale-up.

Patel Container India Partnership Structure

Sellwin Traders and PCIPL have formalized their Strategic Association and Share Swap Agreement. This agreement supports Sellwin's proposed 36% investment in PCIPL's container manufacturing project.

The State Bank of India sanctioned a term loan of ₹20 crore for this project. This loan forms a key component of the overall financing structure. Promoter contribution and Sellwin's proposed investment complete the financing.

Under the share swap mechanism, PCIPL will allot equity shares representing the 36% stake to Sellwin. In return, Sellwin will issue its own equity shares to PCIPL. These shares will not be priced below ₹15 per share.

Kumkum Wellness Acquisition Plans

Sellwin Traders signed an MoU with Kumkum Wellness, which operates the 'Kayapalat' brand. The company plans to acquire an initial 36% equity stake in KWPL. An option exists to increase this holding to 60% within the next eighteen months.

The MoU sets a clear roadmap for formalizing definitive agreements by 31 December 2025. This formalization depends on successful due diligence and fair valuation by a registered valuer. Required statutory approvals and other compliance steps must also be completed.

US Investment Through Shivam Contracting

On 23 August 2025, Sellwin signed an MoU with US-based Shivam Contracting Inc. This agreement creates a strategic equity-linked partnership. Sellwin agreed in principle to invest up to $6 million in SCI's ongoing and future US projects.

Under the MoU terms, Sellwin can acquire a 60% equity stake in SCI. This acquisition would happen through share issuance at no less than ₹18 per share. The MOU remains valid for twelve months from the signing date.

SCI commits to repatriating invested funds to India within two years of each tranche. The company guarantees a minimum return of 7% per annum. This ensures attractive risk-adjusted returns for Sellwin shareholders.

Sellwin may invest up to $3 million initially. This investment reinforces the company's vision of global expansion. The approach involves strategic alliances with phased, measured capital deployment.
