Hyderabad-based Sigma Advanced Systems has made a bold move into global precision engineering. The company has acquired a full 100% stake in the United Kingdom's Nasmyth Group. This strategic purchase comes with a cash consideration of £17.80 million, which translates to approximately Rs 213 crore.
A Major Investment in Aerospace and Defence
Sigma Advanced Systems is not stopping at the initial investment. The company plans to inject an additional Rs 450 crore into the newly acquired business. Sunil Kumar Kalidindi, the CEO of Sigma Advanced Systems, confirmed this significant financial commitment. He outlined the company's vision for the future.
Continuity and Strategic Support
Following the acquisition, Nasmyth Group will continue its operations under its existing brand name. The current leadership team will remain in place to ensure a smooth transition for all customers and partners. Sigma will provide crucial support at the group level. This support includes engineering services, research and development, product development initiatives, and comprehensive financial planning.
Nasmyth Group is a renowned tier-1 precision engineering partner. It serves some of the biggest names in global manufacturing. Its client list features industry giants like Rolls-Royce, GE, Siemens, Airbus, BAE Systems, Safran, Lockheed Martin, and Boeing.
Combining Global Strengths
Kalidindi explained the strategic rationale behind the deal. Programmes will be managed close to Western original equipment manufacturers (OEMs). Nasmyth works intimately with these global OEMs and other tier-1 suppliers. These relationships are governed by long-term agreements and delegated responsibilities.
The acquisition allows Sigma to blend two powerful advantages. It gains direct customer proximity in key Western markets. This will be combined with India's cost-efficient and talent-rich manufacturing base. The goal is to deliver highly complex, safety-critical components, assemblies, and complete systems. These will serve the aerospace, defence, and emerging technology sectors.
What Sigma Gains from the Deal

Nasmyth Group reported strong financial performance. For the twelve-month period ending April 2025, the company clocked revenues of around GBP 60 million. This is roughly equivalent to Rs 728 crore.
The group operates multiple manufacturing facilities across the United Kingdom. It also maintains one facility in India. Its specialisation lies in complex precision engineering, advanced manufacturing, sophisticated metal treatments, and special industrial processes.
Sigma's Existing Defence Portfolio
Sigma Advanced Systems is already a key player in India's defence manufacturing landscape. The company currently produces critical components for several missile systems, including:
- Konkurs
- Invar
- Akash
- Long-range surface-to-air missiles (LRSAM)
- Medium-range surface-to-air missiles (MRSAM)
Beyond missiles, Sigma manufactures avionics for fighter jets and helicopters. It also produces critical components for warships and submarines. The company's portfolio extends to multi-range radar systems as well.
Corporate Restructuring and Name Change
In a related corporate development, Megasoft Ltd has received formal approval. The Union Ministry of Corporate Affairs (MoCA) has cleared the company's request for a name change. This follows the National Company Law Tribunal's (NCLT) earlier approval of an amalgamation scheme.
The scheme involves the merger of privately held Sigma Advanced Systems Pvt Ltd with the listed entity, Megasoft Ltd. Consequently, Megasoft Ltd will change its name to Sigma Advanced Systems Ltd. This change is effective from January 12, 2026.
