Mindspace REIT Acquires Major Chennai Office Campus in Rs 2,541 Crore Deal
In a significant move in India's commercial real estate sector, Mindspace Business Parks REIT has announced its decision to acquire a 100% stake in Sycamore Properties and Content Properties. This acquisition grants the REIT ownership of the expansive 'Commerzone Pallikaranai' office campus located in Chennai, with the total transaction valued at approximately Rs 2,541 crore.
Transaction Details and Financial Structure
The board of the REIT manager has formally approved this strategic acquisition. The deal structure is multifaceted, incorporating a preferential unit issue of up to Rs 675 crore. This issuance is contingent upon receiving necessary approvals from unitholders and regulatory bodies. The preferential units are being offered at an issue price of Rs 484.89 per unit, providing a mechanism to fund part of this substantial investment.
Overview of Commerzone Pallikaranai Campus
The Commerzone Pallikaranai campus is a premier Grade A office development situated on the Pallavaram–Thoraipakkam Road in Chennai. Spanning 12.4 acres, the property boasts a total developable area of 2.6 million square feet.
- Completed Space: 1.4 million sq ft is already operational and leased.
- Future Development: An additional 1.2 million sq ft is currently under construction, with completion targeted for March 2027.
A key strength of this asset is its strong tenant profile. The global energy giant Shell serves as the anchor tenant, occupying approximately 55% of the currently leased area, ensuring significant and stable rental income.
Strategic Execution and Valuation
This acquisition is being executed under a pre-existing right of first offer agreement with the project's sponsor, K Raheja Corp. This agreement provided Mindspace REIT with the priority opportunity to purchase the asset. The agreed acquisition price of Rs 2,541 crore reflects a strategic 3.4% discount to the average valuation derived from two independent property assessments, indicating a value-accretive deal for the REIT and its investors.
