AMIPS Acquires L&T Technology's Smart World Business in Major Rs 452 Crore Deal
In a significant strategic move, AMI Paradigm Solutions Private Limited (AMIPS) has entered into a binding transfer agreement with L&T Technology Services (LTTS) to acquire its smart world and communication (SWC) business unit. The transaction, valued at Rs 452 crore, is structured as a slump sale and marks a pivotal expansion for AMIPS in the artificial intelligence domain.
Transaction Details and Strategic Rationale
The consideration of Rs 452 crore is subject to standard adjustments for working capital, net debt, and other factors as outlined in the binding agreement. L&T Technology Services confirmed in a regulatory filing that the deal is anticipated to conclude on or before September 2026, pending customary closing conditions.
AMIPS, a joint venture between AM Group and ParadigmIT, stated that this acquisition is central to its long-term strategy of developing AI-driven intelligence solutions for mission-critical sectors. The company aims to position itself as a vertically integrated AI platform, encompassing carbon-free power generation, data centers, high-performance computing chips, software applications, and flexible consumption models.
Expanding Sovereign AI Capabilities
The primary objective of this acquisition is to bolster AMIPS' sovereign AI offerings tailored for governments, public systems, and critical infrastructure worldwide. Sovereign AI refers to AI systems developed and controlled within a nation's borders to ensure data security, regulatory compliance, and strategic autonomy.
Industry estimates cited by the companies indicate that the global market for sovereign AI services is currently valued at approximately $25 billion. This market is projected to grow rapidly, potentially approaching $100 billion by the early 2030s, driven by increasing demand for secure and localized AI solutions.
Leadership and Future Plans
AM Group, promoted by Greenko Group founders Anil Chalamalasetty and Mahesh Kolli, has already announced a massive $25 billion investment to establish a 1-gigawatt high-performance compute hub in Uttar Pradesh. The first phase of this project, involving about 250 megawatts, is currently under development on land allocated by the Yamuna Expressway Industrial Development Authority (YEIDA).
Anil Chalamalasetty, Chairman of AM Group, emphasized that the acquired Smart World business will facilitate the deployment of AI technologies across various sectors, including government operations, urban management, utilities, transportation networks, and corporate enterprises.
Sridhar Gadhi, promoter of ParadigmIT, highlighted that the acquisition will accelerate the development of domain-specific AI models, sovereign AI architectures, and cost-effective AI tokens powered by clean energy sources.
LTTS's Strategic Refocus
From L&T Technology Services' perspective, the divestiture aligns with the company's refined strategic focus on engineering intelligence, software development, and digital manufacturing. LTTS CEO Amit Chadha noted that the sale ensures continuity and value for both employees and clients of the SWC business unit, while allowing LTTS to concentrate on its core competencies.
The SWC portfolio of LTTS operates both within India and internationally, providing smart solutions for urban infrastructure, communication networks, and digital transformation projects. This acquisition by AMIPS represents a consolidation in the rapidly evolving AI and smart technologies landscape, with significant implications for India's position in the global sovereign AI market.
